Conexant, Carlyle to form specialty foundry firm

Conexant Systems Inc. and The Carlyle Group have entered into a definitive agreement to form a specialty foundry company. The new company will manufacture semiconductor wafers using specialty process technologies such as SiGe BiCMOS for used in wireless communications and optical networking. Carlyle will hold 55 percent stake of the new company, while Conexant will own 45 percent stake.

Under the terms of the agreement, Carlyle will pay Conexant $20 million and will contribute $30 million to the new venture. Conexant will contribute its specialty process technologies and the manufacturing equipment in its Newport Beach, California, wafer fabrication facility.

Conexant's three businesses targeting the mobile communications, broadband access and Internet infrastructure markets will be served by the new company under long-term supply contracts.

The new specialty foundry company will use 0.35?m SiGe BiCMOS processes operating at frequencies up to 70GHz, and will focus its R&D activities on SiGe BiCMOS technology featuring 0.18?m geometries and operating frequencies of greater than 160GHz. In addition, the new company will complete the development of a 200GHz SiGe BiCMOS process technology for wireless communications devices.
