C-COR completes acquisition of nCube

C-COR Inc. has completed its $89 million acquisition of nCube Corp., a Beaverton, Oregon, company that shifted from distributed supercomputing to providing media servers used in cable TVs.

The nCube computing architectures will be developed and sold as part of the C-COR Solutions software business unit, and nCube President and Chief Executive Michael Pohl will become president of C-COR Solutions.

C-COR specializes in on-demand architectures using the Internet Protocol as a converged network protocol and optical transport as the physical-layer delivery mechanism. C-COR's original strength was in multisystem operator accounts, but it is expanding into a variety of common telecom carriers as well as cable operators and offering services as well as systems and software.

The offering for nCube came in the form of 4.5 million shares of C-COR common stock, $35 million of senior unsecured five-year convertible notes, $20 million in cash, and assumption of nCube's liabilities.

The nCube acquisition capped a busy year for C-COR, in which the company also acquired Optinel Systems, a specialist in wave-division multiplexed architectures for MSOs; Stargus Inc., a network-management software company; Lantern Communications Inc., a resilient packet ring and Ethernet-access startup; and Alopa Networks, which designed an MSO service-activation system.

nCube was founded in the 1980s by Intel Corp. veterans who wanted to use hypercube architectures in massively-parallel computing. While the company achieved some success in distributed parallel systems in the 1990s, it shifted to cable and competitive-carrier content distribution using massively-parallel servers in the mid-1990s. In recent years, its servers and software have been used primarily in digital ad insertion, transcoding, and video-on-demand systems.
