Continuous Computing Corp. has acquired, for an undisclosed sum, key people, products and technology from the product division of China-based UPTech (United Platform Technologies).

The acquisition, expected to close within a month, will greatly enhance the company's presence in the important Chinese market and add global product development and regional customer support capabilities. It will increase Continuous' headcount by approximately 80 people, primarily in Shenzhen, China.

Continuous is best known in the communication space for developing PICMG 2.16 CompactPCI and AdvantedTCA boards for voice-over-IP and 3G wireless applications. The company is also known for purchasing Trillium from Intel in 2003 in order to integrate Trillium's software into its system and board designs.

Last year, through a $15 million funding round that was led by Taiwan-based China Development Industrial Bank, the company extended its reach into the Asia-Pacific market.

According to PJ Go, president, CEO and co-founder of Continuous Computing, the acquisition will help the company "achieve its 2005 corporate goals for extending global reach and augmenting sales, development and manufacturing capabilities."

Go added: "We also expect the acquisition to significantly accelerate our ability to deliver Network Service-Ready Platforms to telecom equipment manufacturers."

UPTech is a significant software and product provider in the rapidly growing Chinese VoIP market.

"This is a win/win situation for both UPTech and Continuous Computing," said Chareleson Zheng, CEO of UPTech. "Continuous Computing will benefit from the success of the products and the market in China while UPTech will be able to focus its energy on the rapid growth of software and services."

The new Continuous business unit, to be called IP.Enterprise, will be led by King Chen, CTO of UPTech and general manager of the product division.
