SigmaTel completes acquisition of Protocom

Analog and mixed-signal semiconductor supplier SigmaTel Inc. has finalized the acquisition of Protocom Corp., a privately held semiconductor supplier of multi-function imaging chips.

SigmaTel announced July 26 it would acquire Protocom for $47 million, of which $28.2 million would be in common stock and $18.8 million would be in cash. SigmaTel also agreed at the time to acquire the assets of D&M Holdings Inc.'s Rio portable audio product line.

The acquisition of Protocom provides SigmaTel its first product line focused on imaging applications, as well as a technology that can be leveraged into several emerging multimedia consumer electronics markets. Both companies are coordinating roadmaps with plans to have SigmaTel's mixed signal technology combined with the acquired imaging technology by the second half of 2006.

Most of Protocom's employees have become full-time SigmaTel employees and remain in their current locations. Protocom's former headquarters in Cupertino, California, will become SigmaTel's West Coast Imaging Center.
